Terms & Conditions

These Terms and Conditions ("Terms") govern your use of NVSautomate.com (the "Website") and the Phantom platform at app.nvsautomate.com (the "Platform"), both operated by Del Rey LLC ("NVS," "we," "our," or "us"). By accessing or using the Website or the Platform, you agree to these Terms.

01 Use of Website and Platform

1.1 — When you access our Website

Our Website provides information about our automation services and, in the future, may offer downloadable products, templates, and courses. Anyone may browse and access the general content on the Website.

1.2 — When becoming a client

Although the Website is accessible to all ages, NVS provides services only to individuals or businesses with representatives who are 18 years or older. We reserve the right to decline service if this requirement is not met.

1.3 — When you access the Phantom Platform

The Phantom Platform at app.nvsautomate.com is the application clients use to view dashboards, tables, forms, workflow runs, and other operational surfaces NVS builds and maintains on their behalf. Access to the Platform requires an active NVS service agreement and credentials provisioned by NVS. Clients are responsible for keeping their sign-in credentials secure.

02 Service Model

2.1 — When you work with NVS

NVS provides a range of virtual system services including automation design, AI-assisted workflows, n8n system builds, CRM creation, Notion and Airtable dashboard development, and consulting/optimization support.

2.2 — When you subscribe to automation services

Automation and system-building services require a written client agreement and a signed contract (e-signatures are accepted). The obligations, deliverables, and payment terms are defined within that agreement. Where the engagement includes the Phantom Platform, clients access the live system and its surfaces (dashboards, tables, forms, workflow runs) through app.nvsautomate.com using credentials NVS provisions during onboarding.

2.3 — When you purchase digital products

Any future downloadable products, templates, or courses purchased directly through the Website will be governed by the contract presented at checkout together with these Terms.

03 Payment Terms

3.1 — Month-to-month automation services

Clients may subscribe to automation services on a monthly basis.

  • You may cancel anytime with 7 days' notice prior to the next billing cycle.
  • Your first 30 days are free, covering the onboarding period.

3.2 — Annual plan

Annual subscribers pay for 11 months and receive 12 months of service.

  • Annual plans may be refunded within 30 days of signup.
  • After 30 days, all annual payments are non-refundable.

3.3 — Service Guarantee

NVS guarantees that your automations will save you 20 hours per month, or we will continue working at no additional charge until that benchmark is met.

If you choose cancellation instead of continued optimization:

  • Your most recent payment will be refunded, and
  • Your automations will be removed immediately.

04 Automation Access & Ownership

4.1 — When NVS builds your systems

All automations, workflows, scripts, nodes, system logic, and related materials created by NVS remain the intellectual property of NVS. Clients receive a use license for as long as they remain subscribed.

4.2 — When your subscription ends

  • If canceled with refund, automations are removed immediately.
  • If canceled without refund, automations remain active until the end of the current billing cycle.
  • Clients will continue to have access to any dashboards built within their own tools (Notion, Airtable, CRM systems), but access to NVS-owned automations and server resources will end.

4.3 — Client data inside the Phantom Platform

The Platform, the shared platform and AI systems, the automation code, and NVS's proprietary methods remain NVS property. Clients receive a license to use the automations NVS builds and operates for them for as long as they remain subscribed (see §4.1); the deliverable is the working automation system itself, not its underlying code. We do not provide copies or exports of our automation code or platform internals. The operational data clients put into their Phantom workspace — table rows, form submissions, connection configurations, message history, and other content originating from the client's business — belongs to the client.

To protect against accidental loss, NVS maintains the authoritative copy of workspace data, and clients cannot permanently delete it through self-service. On a written, verified request to Admin@NVSautomate.com, NVS will provide the client a copy of their own business data, or delete it, so that nothing is removed by accident. See the Privacy Policy for how retention and deletion are handled.

05 Liability Limitations

5.1 — When issues occur

Automation systems may be impacted by third-party services, API changes, platform downtime, or client-side configuration errors. NVS is not responsible for:

  • Data loss or automation failures
  • Third-party platform or API outages
  • Client misuse or misconfiguration
  • Loss of revenue, as automations are not tied to direct payment systems

5.2 — When revenue loss is claimed

Clients must contact Admin@NVSautomate.com to request an investigation. We will review system logs, platform behavior, and failure history. NVS reserves the right to deny claims not directly attributable to system errors.

5.3 — Ongoing optimization

During optimization, rare automation failures may occur. We make every effort to resolve issues quickly and restore system functionality.

5.4 — Platform availability

NVS targets high availability of the Phantom Platform but does not guarantee uninterrupted service. Scheduled maintenance, third-party hosting incidents (Vercel, Supabase, Temporal Cloud), and underlying infrastructure events can cause brief downtime. Outages are not grounds for refund unless they materially prevent delivery of the contracted service for an extended period; in that case clients should contact Admin@NVSautomate.com under §5.2.

06 AI & Automation Disclaimer

6.1 — When using AI-assisted systems

Some services incorporate AI-generated outputs or logic, and the Platform's assistant may read connected content such as emails and meeting transcripts to answer questions and draft work (see the Privacy Policy, §3). AI outputs may contain errors or incomplete information. NVS does not guarantee AI accuracy, completeness, or suitability for any specific purpose.

AI is intended to support — not replace — professional or operational judgment. Clients are responsible for reviewing AI-generated output before relying on or sending it.

07 Client Responsibilities

7.1 — When working with NVS

Clients agree to:

  • Provide accurate and timely information
  • Maintain consistent platform access
  • Avoid misuse or abuse of automations
  • Notify NVS of credential changes
  • Adhere to the terms and policies of any third-party platforms used in their systems

08 Non-Solicitation

8.1 — When interacting with NVS team members

Clients may not solicit, recruit, or attempt to hire NVS employees, contractors, or service providers. Clients may not reverse-engineer, duplicate, or resell proprietary NVS systems or frameworks.

09 Non-Disparagement

9.1 — When concerns arise

Clients agree not to publicly disparage NVS or its employees. Issues must be addressed internally by emailing Hello@NVSautomate.com so they can be resolved appropriately.

10 Confidentiality

10.1 — When handling sensitive material

Both NVS and clients agree to maintain strict confidentiality regarding:

  • Business data
  • System architecture
  • Credentials
  • Workflow information
  • Internal methodologies and processes

This obligation continues even after the contract ends.

11 Website Purchases

11.1 — When buying digital products from the Website

We do not currently sell digital products directly through the Website. If we introduce templates, downloads, or courses for direct purchase, they will be sold through a third-party payment processor, will be final sale unless otherwise stated, and will be governed by that processor's policies together with these Terms. We will name the processor here before any such offering goes live.

12 User Accounts

12.1 — Phantom Platform accounts

Sign-in to the Phantom Platform requires an account NVS provisions for you during onboarding. Users must provide accurate information and keep their credentials secure. Sharing credentials, attempting to access another tenant's workspace, or any form of unauthorized access is grounds for immediate suspension. Accounts may be suspended or terminated for fraud, misuse, or violation of these Terms.

12.2 — Password reset and account recovery

Clients who lose access can recover their account via the password-reset flow on the sign-in page, or by contacting Admin@NVSautomate.com. NVS staff will verify identity before resetting credentials manually.

13 Governing Law

13.1 — When disputes arise

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles.

14 Sub-processors

14.1 — Third parties that process data on our behalf

To deliver the Website, the Phantom Platform, and the underlying automation services, NVS engages the third-party providers listed below. Each is bound by its own commercial terms and, where applicable, a data-processing agreement. The Privacy Policy (§5) describes what each provider receives; the current list is:

  • Supabase — database, authentication, and storage for workspace and Website data.
  • Temporal Cloud — workflow runtime that executes the automations NVS builds.
  • Modal — background worker compute that runs the workflow code.
  • Vercel — hosting and edge compute for the Website and Platform surfaces.
  • OpenRouter — gateway used to invoke large language models on behalf of automations.
  • OpenAI — language models and text embeddings.
  • Anthropic — language models for tasks such as query rewriting and titling.
  • Cohere — reranking of search results.
  • Google (Gmail & Calendar) — authentication and the API surfaces you authorize when connecting a Google account.
  • Fathom — meeting transcripts, summaries, and action items when connected.
  • Resend — transactional email such as invitation links.
  • Svix — verification of incoming webhook signatures.
  • ClickUp — task and record data for the relevant client integrations.
  • n8n Cloud — routing of Website inquiry-form submissions and certain legacy client integrations.

The sub-processor list may change as the Platform evolves. Material changes will be reflected in updates to these Terms and to the Privacy Policy.

15 Modifications

15.1 — When the Terms are updated

We may modify these Terms at any time to reflect changes in services or legal requirements. Continued use of the Website or the Platform constitutes acceptance of the updated Terms.
